Legal
Terms & Conditions
The rules for using this site and for working with me on a collaboration, a contest or licensed content.
Plain-language summary: I publish honest opinions, paid work is always labeled, and a collaboration never buys a good review.
1. Who we are
This website and the Jane Novikova Foodie brand are operated by Click2Revenue LLC, a Delaware limited liability company, 16192 Coastal Hwy, Lewes, DE 19958, United States (“we”, “us”). Contact: jane@click2revenue.com.
2. Acceptance
By using this website, entering a contest, or purchasing a collaboration or other service, you agree to these Terms, our Privacy Policy and, where applicable, the Contest Rules. If you are acting for a business, you confirm you are authorized to bind it.
3. Website content
All content on this site: videos, text, photos, maps, recommendations, the Find-my-spot tool: is our opinion and is provided for information only. Restaurants change; we do not guarantee prices, hours, availability, quality or safety of any venue. Always check with the venue. Content is protected by copyright and may not be reproduced without written permission, except for sharing links.
4. Editorial independence and disclosure
We publish honest opinions. Where content results from a collaboration, gifted meal or payment, it is labeled (#Colaboración, #Publicidad or equivalent) in line with the PROFECO Advertising Guide for Influencers and the U.S. FTC Endorsement Guides. A collaboration never buys a positive opinion: if a visit does not meet our editorial standard, we may decline to publish, and no fee is due for the Simple Collaboration tier.
5. Collaboration services
5.1 Scope. The deliverables, platforms, timelines and price of each package are described on the Collaborate page or in a written quote. The written quote prevails if they differ. Anything not listed is not included.
5.2 Booking. A collaboration is confirmed when we have accepted your request in writing and, for paid packages, received the deposit in section 6. Visit dates are agreed jointly; we may reschedule for weather, travel or health reasons and will offer new dates.
5.3 Your obligations. You provide the meal/experience, the dishes to be featured, accurate venue information, and: for contests: the prize and any filings required from you as a business in your country. You confirm you hold all rights to your name, logo and menus and that your venue complies with local law.
5.4 Creative control. We retain final creative control over our own content, including the script, edit, and publish dates within the agreed window. You may request one round of factual corrections (names, prices, spellings) before publishing on our channels. Custom content for your account (package 3) includes two revision rounds.
5.5 Advertising budgets. For promoted packages, the advertising budget is paid by you in advance in addition to our fee, and is spent on the platforms at their prices. We do not guarantee reach, views, followers, reservations or sales.
5.6 Duration. Content published on our channels stays up at our discretion; we do not commit to keep content live for a fixed period, but will not remove it before 12 months without cause.
6. Prices and payment
6.1 Prices are in U.S. dollars unless stated otherwise and exclude any taxes, bank charges or platform fees, which you pay.
6.2 Paid packages: 50% deposit on booking, 50% before publication (or 100% in advance for packages under $500). Advertising budgets and prizes are due in full before the campaign starts.
6.3 Accepted methods: credit/debit card, ACH (U.S.), Zelle, international wire transfer. Card payments may carry a processing fee shown at checkout. You bear sender-side wire fees.
6.4 Invoices are due within 7 days. Late amounts accrue 1.5% per month or the maximum allowed by law, whichever is lower, and we may pause deliverables.
6.5 Other arrangements (barter, revenue share, long-term retainers) are valid only if agreed in writing (email is sufficient).
7. Cancellation and refunds
- You cancel more than 7 days before the visit: deposit refunded minus any non-recoverable costs.
- You cancel within 7 days of the visit or after filming: deposit is non-refundable; work completed is invoiced.
- We cancel for our own reasons: full refund of amounts paid for undelivered work.
- Advertising budgets already spent are non-refundable; unspent budget is refunded or credited.
- Editorial decisions under section 4 are not a cancellation by us.
8. Intellectual property and licensing
8.1 We own all content we create, including raw footage, unless the package explicitly transfers rights.
8.2 Simple, Promoted and Contest packages: you receive a non-exclusive, non-transferable license to share and re-post our published video from our accounts (repost, share, embed, Stories) with credit. You may not re-edit it, remove our branding, or use it in paid advertising from your own accounts without a licensing package.
8.3 Custom content and licensing packages grant the rights stated in the quote (typically: worldwide, non-exclusive, for your own organic and paid channels, website, menus and in-venue screens, for 12 months unless stated). Resale or sublicensing is excluded.
8.4 You grant us a license to use your name, logo, venue images, and menu information in the content and in our portfolio and media kit.
9. Contests
Contests we run with partner venues are governed by the Contest Rules. Partner venues are responsible for the prize, its taxes, and any notices required from them as a business (for example under NOM-028-SCFI-2007 in Mexico).
10. Find my spot and AI features
Recommendations generated by our tools are automated suggestions based on our own reviews. They can be wrong or out of date. They are not professional advice. Paid features, when introduced, are described at the point of purchase and are subject to these Terms.
11. Disclaimers and liability
The website and services are provided “as is”. To the fullest extent permitted by law, we exclude all warranties and are not liable for indirect, incidental or consequential losses, lost profits or lost revenue. Our total liability for any claim relating to a collaboration is limited to the fees you paid us for that collaboration. Nothing in these Terms limits liability that cannot be limited by law, including mandatory consumer rights in Mexico.
12. Indemnity
You indemnify us against claims arising from your venue, food safety, your breach of these Terms, or content and materials you supply.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Disputes are resolved in the state or federal courts located in Delaware, except that mandatory consumer protection rules of your country of residence continue to apply and either party may seek injunctive relief in any competent court. Before filing a claim, the parties will try to resolve the matter by email for 30 days.
14. Changes
We may update these Terms; the date at the top shows the current version. Changes apply to collaborations booked after the change.
